These Terms of Service (“Terms”) are a binding agreement between you (“you”, “your”, or “User”) and CJT FAMILY PTY LTD (ABN 24 670 099 573 / ACN 670 099 573) of PO Box 129, Emu Plains NSW 2750 (“WorkForce Marketplace”, “WFM”, “we”, “our”, or “us”).
They govern your access to and use of our website at workforcemarketplace.au, our platform at workforcemarketplace.com.au, our web and mobile applications, and all related services (together, the “Service”).
By creating an account, ticking “I agree”, or otherwise using the Service, you accept these Terms and our Privacy Policy, which forms part of this agreement. If you do not agree, do not use the Service.
1. Definitions
- “Service” — the WFM platform and all features described in these Terms.
- “User” — any person or entity with a WFM account.
- “Hiring Capacity” — when a User posts a Job, engages another User, and pays for work.
- “Working Capacity” — when a User applies for, is engaged for, or performs a Job.
- “Job” — a task, project, or engagement posted on the Service.
- “Job Payment” — money paid by a User in a Hiring Capacity for a Job.
- “Service Fee” — the fee each User pays us on a Job: one payable by the User hiring, and one by the User doing the work, as set out in our Fee Schedule.
- “Subscription” — a paid plan giving access to certain features.
- “Content” — anything a User uploads or posts (profiles, Job posts, documents, messages, reviews).
- “Verified” / “Verification” — has the limited meaning given in clause 6.
2. Eligibility
To use the Service you must:
- be at least 18 years old and have legal capacity to enter into a binding contract;
- if acting as or on behalf of a business, hold a current Australian Business Number (ABN) and be authorised to bind that business;
- provide truthful, accurate, and current information and keep it up to date;
- hold, and keep current, all licences, registrations, permits, and insurances required by law for any work you offer or perform; and
- comply with all laws that apply to your use of the Service and to your work or hiring activity.
We may refuse, suspend, or terminate access where these requirements are not met.
3. User Roles and Capacities
WFM is a two-sided marketplace with no fixed buyer or seller roles. The same User may act in a Hiring Capacity (posting and paying for Jobs) and a Working Capacity (applying for and performing Jobs), at different times or on different Jobs.
Your obligations under these Terms apply to whichever capacity you are acting in at the time. Each User is responsible for:
- the confidentiality and security of their account credentials;
- all activity that occurs under their account; and
- promptly notifying us of any unauthorised use.
4. Acceptable Use
You agree to use the Service lawfully and in good faith. You must not:
- post Jobs, profiles, documents, or Content that are false, misleading, unlawful, or that you lack the right to post;
- offer or perform work you are not licensed, qualified, or insured to perform;
- harass, threaten, defame, discriminate against, exploit, or mislead any other User;
- upload malware, scrape the Service, or interfere with its operation or security;
- circumvent, or attempt to circumvent, the Service to avoid Service Fees — including soliciting or arranging to communicate, contract, or pay another User off-platform for a Job that originated on the Service (see clauses 5 and 12); or
- use the Service for any purpose other than its intended use.
Breach of this clause may result in warning, suspension, termination, removal of Content, forfeiture of fees, and/or recovery of fees avoided through circumvention.
5. Communication and Anti-Circumvention
To protect both Users and to keep a documented record of Job-related communication, the Service restricts messaging:
- all messaging is tied to a specific Job — there are no open direct messages;
- before a User is engaged, messages may be limited in number and length, attachments may be restricted, and phone numbers, email addresses, and web links may be blocked or removed;
- contact details are released only after engagement and/or a payment milestone; and
- you consent to WFM automatically screening, filtering, and storing messages for compliance, safety, dispute-resolution, and anti-circumvention purposes.
We do this to let Users communicate enough to progress legitimate work — not to bypass the Service. Handling of message data is described in our Privacy Policy.
6. Verification, Credentials, and Insurance
We may display a “Verified” badge or similar indicator on profiles or credentials.
What verification means. When you submit a credential, a member of our team reviews it manually and checks that it appears complete, legible, and consistent with the details you have entered. Where the credential is a licence or registration recorded on a public register maintained by an Australian regulator, we also check it against that register to confirm the licence number exists, appears current, and matches the details you have given us. If those checks pass, we mark that credential as verified on your profile.
What verification does not mean. Our checks are a point-in-time review, carried out on the date shown against the credential. We do not:
- warrant that a credential stays current after the date we checked it — a licence can expire, or be suspended or cancelled, at any time afterwards, without our knowledge;
- confirm insurance with the insurer. Insurance is not held on a public register, so our review of an insurance certificate is a review of the document only;
- guarantee that any document is genuine, or that a public register we rely on is itself accurate or up to date;
- confirm that a User is competent, or is licensed or insured for the particular work you are engaging them to do; or
- provide, arrange, or guarantee any insurance.
You must still do your own checks. Before engaging or working with another User, you should confirm their licences and insurances yourself — licences through the relevant state regulator’s public register, and insurance directly with the insurer. This matters most where the work is high-risk or high-value, or where time has passed since we checked. Do not rely on a Verified badge alone. WFM provides no insurance cover of any kind in respect of any Job.
7. Jobs and Relationship of the Parties
7.1 We are not a party to your contracts
We provide a platform to connect Users. We are not a party to any contract between Users, and we are not an employer, agent, partner, contractor, or representative of any User. The contract for any Job is solely between the Users involved.
You are solely responsible for the scope, terms, deadlines, quality, pricing, and legality of your Jobs. We strongly encourage written job agreements.
7.2 Independent contractors
Each User acts as an independent contractor. Nothing in these Terms or in any Job creates an employment, agency, partnership, joint venture, or fiduciary relationship between Users, or between any User and WFM.
Disputes about a Job, and what happens to money we are holding, are dealt with in clause 14.
8. User Content and Intellectual Property
- You retain ownership of Content you upload.
- You grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, and display your Content solely to operate, promote, and improve the Service. This licence continues for Content that must remain visible (such as reviews of completed Jobs) after your account closes.
- You warrant that you own or have the rights to the Content you post and that it does not infringe any third party’s rights.
- We may remove or disable Content that breaches these Terms or any law.
9. Reviews
- Reviews may only be left following a Job completed through the Service, and must be honest and based on a genuine experience.
- You are solely responsible for the reviews you post and are liable for any unlawful, false, or defamatory content in them.
- We do not edit reviews to misrepresent them, but we may remove reviews that breach these Terms or any law.
10. Platform Availability
We aim to provide reliable access but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or technical issues.
11. Privacy
We collect, use, and disclose personal information (including names, contact details, ABNs, licences, and insurance documents) in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and our Privacy Policy, which forms part of these Terms. Some information may be disclosed to service providers, contractors and developers located outside Australia — including in the United States and other countries where they operate. Where that happens we take reasonable steps to ensure your information is handled consistently with the Australian Privacy Principles.
12. Payments, Service Fees, and Fund Handling
12.1 Fees
- Access to certain features requires a paid Subscription.
- Each User on a Job pays their own Service Fee — one payable by the User hiring, and one by the User doing the work. The rate is tiered by subscription plan and Job value, and is set out in our Fee Schedule, which forms part of these Terms and which we may update on reasonable notice.
- The poster-side fee is added on top of the Job value — the hiring User is shown and charged the total (Job value plus fee) before committing.
- The subcontractor-side fee is deducted from the payout — the performing User receives the Job value minus their fee.
- We may also charge one-time add-on fees, shown at the point of purchase (for example, job promotion or credential verification).
- Our fees are exclusive of GST. Where GST applies it is added to the fee, shown to you before you commit, and included in the tax invoice we issue.
12.2 How payments are processed and held
- Job Payments and fees are processed by our third-party payment provider, Stripe, and may be settled by card or, for amounts over $1,000, by BECS direct debit.
- Payment for a Job (or milestone) is made by the User in a Hiring Capacity after both Users confirm on the Service that the Job (or milestone) is complete.
- Once paid, the Job Payment is not transferred to the performing User immediately: it is released automatically 8 days after payment, unless a dispute is raised in that window (clause 14) or we intervene. This period allows the payment to clear and settle with our payment provider.
- We may withhold, delay, or reverse a release where a dispute is raised, where required by law, or where we reasonably suspect fraud or breach of these Terms.
We do not guarantee payment. We are not a party to the contract between Users (clause 7.1). We do not hold a User’s funds before a Job is completed, we do not pay on another User’s behalf, and we do not guarantee that a User in a Hiring Capacity will pay. If a User does not pay, your recourse is against that User directly. Before starting work you should agree the price and payment terms with the other User in writing.
12.3 Your obligations
- You must not arrange or accept off-platform payment for a Job that originated on the Service.
- You are responsible for all taxes, levies, superannuation, and compliance obligations arising from your use of the Service and your work or hiring activity.
13. Subscriptions, Cancellation, and Refunds
- Subscriptions renew monthly until cancelled.
- You may cancel at any time from your account settings or the Add-ons page. Cancellation takes effect at the end of the current billing period, and you keep your subscription benefits until then.
- Except where required by the Australian Consumer Law (clause 15), Subscription fees already paid are not refunded, including for any unused part of the current billing period.
- Your Service Fee rate is locked in at the start of a Job and does not change for that Job. For the User posting the Job, the rate is locked when the Job is posted. For the User doing the work, it is locked when the Job is accepted. Changing or cancelling your Subscription does not alter the rate on a Job that is already locked; it applies to Jobs posted or accepted after the change.
- Any funds we are holding are dealt with under clause 12.
- Nothing in this clause limits your non-excludable rights under the Australian Consumer Law.
14. Disputes and Held Funds
Resolving a dispute about a Job is primarily the responsibility of the Users involved. Where a dispute is raised before a Job Payment is released:
- the release of the held funds is paused;
- the Users have 14 days to resolve the matter directly between themselves, and we will release the funds in accordance with what they agree;
- if they have not resolved it within those 14 days, we may offer an optional, non-binding facilitation service to help them reach their own agreement. We do not investigate, adjudicate, or decide the merits of a dispute, and we do not determine who is entitled to the funds; and
- if the dispute is still unresolved 90 days after it was raised, the held funds are automatically refunded to the paying User. This is an automatic default, not a decision by us about who was right.
We act only as a facilitator — not an arbitrator. Any facilitation we provide does not make us responsible for the outcome of a dispute or the underlying Job. Nothing in this clause affects your right to pursue the other User directly (clause 7.1).
15. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where our liability for breach of a non-excludable guarantee can be limited, it is limited (at our option) to re-supplying the relevant service or paying the cost of re-supply.
16. Limitation of Liability
Subject to clause 15, to the maximum extent permitted by law:
- we are not liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, or opportunity;
- we are not responsible for the conduct, performance, acts, or omissions of any User; and
- our total aggregate liability arising out of or in connection with the Service is limited to the lesser of (a) the total fees you paid us in the 12 months before the claim, and (b) $2,000.
You use the Service at your own risk.
17. Indemnity
To the maximum extent permitted by law, you agree to indemnify CJT FAMILY PTY LTD, its affiliates, and their officers and employees against claims, liabilities, damages, losses, and reasonable expenses arising from:
- your use of the Service;
- your breach of these Terms or any law; or
- any dispute between you and another User.
18. Suspension and Termination
- You may close your account at any time from your account settings, provided you have no active Jobs.
- We may suspend or terminate your access immediately if you breach these Terms, create risk or legal exposure, or where required by law.
- On termination: your right to use the Service ends; clauses intended to survive (including 6, 8, 9, 11, 12, 15, 16, 17, 19, and 21) continue; in-progress Jobs and held funds are dealt with under clause 12; and we handle your personal information in accordance with our Privacy Policy and the Australian Privacy Principles.
19. Jurisdiction and Governing Law
The Service is offered in Australia only. It is not directed at users in other countries, and you are responsible for compliance with local laws if you access it from elsewhere.
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of New South Wales.
20. Changes to These Terms
We may update these Terms. For material changes, we will give reasonable notice by email or through the Service before they take effect, and (where the change materially disadvantages you) you may terminate before it takes effect. Continued use after a change takes effect means you accept the updated Terms.
21. General
- Assignment: you may not assign these Terms without our consent; we may assign them in connection with a sale or restructure.
- Severability: if any term is unenforceable, the rest continue.
- Waiver: failure to enforce a term is not a waiver.
- Entire agreement: these Terms, our Privacy Policy, and our Fee Schedule are the entire agreement between us.
- Force majeure: we are not liable for failures caused by events beyond our reasonable control.
